Smart Speak Terms of Service

1. Introduction

Welcome to Smart Speak! These Terms of Service (“Terms”) outline the rules and guidelines for using the Smart Speak Platform and Services. By accessing or using our Services, you agree to comply with these Terms. If you do not agree to these Terms, please do not use our Services.

2. Definitions

• “Account”: The user account created to access or use certain features of the Services

• “Member”: A registered user of the Services.

• “Services”: The functionalities and features offered on the Smart Speak Platform.

• “SNS”: Third-party social networking sites like Facebook.

3. Eligibility

You must be at least 18 years old to use the Services. By agreeing to these Terms, you confirm that you meet this age requirement.

6. Your Account

6.1 Registration

To access most features of the Services, you need to create an account (“Account”). The information collected during registration and related to your Account is subject to these Terms and our Privacy Policy. Ensure that you provide accurate and current information and promptly update any changes.

6.2 Third-Party Registration

You may register using your account from certain third-party social networking sites (SNS), such as Facebook. We will access the information you provide to the SNS (e.g., name, profile picture, email, friends list) to create your Account. The information obtained depends on your SNS privacy settings.

6.3 Account Security

Keep your password confidential and do not share it with others. If you suspect unauthorized access to your account, contact us immediately. You are responsible for all activities under your account, so do not let others use it.

6.4 Account Termination

We reserve the right to terminate or modify your account or username for any reason, including unauthorized usage. We are not obligated to retain your account or any associated data, except as required by law.

7. Smart Speak Online Session Service

7.1 Billing Policies

• Product prices on the Smart Speak platform are displayed during the ordering process and exclude VAT and other taxes unless specified.
• Additional charges may apply for debit or credit card use.
• You are responsible for any connection fees to the Smart Speak Platform and Services.
• We may change prices with reasonable notice posted on the platform. Confirmed purchases are not affected by price changes, and we do not offer price protection or refunds for price drops or promotions.

7.2 Credits Allocation

• Credits purchased will be added to your Smart Speak Account once payment is completed.
• The usage record of these credits will be reflected in your account information.

7.3 Sessions Reservation and Cancellation

• Reservation: Live sessions must be booked at least 24 hours in advance.
• Cancellation: Cancel a reserved session at least 24 hours before it starts. If a session is not canceled on time, it will be considered used, and the session will be deducted from your account.
• Usage Rule: All sessions are on a “use them or lose them” basis, meaning they must be used within the specified period. Unused sessions will expire and cannot be refunded or transferred.

7.4 Other General Member Terms

• All sessions are recorded by Smart Speak for quality control and business purposes.
• These recordings, along with audio records, video images, and teaching materials, are proprietary and owned by Smart Speak.
• We reserve the right to set the number of students per Regular Session, not exceeding the maximum agreed upon in the Product.

8. Disclaimer of Warranty and Limited Liability

8.1 Use at Your Own Risk

•  Your use of the Services is at your own risk.
• Any material or data obtained through the use of our Service is at your discretion and risk, and you are responsible for any damage or data loss to your computer system.

8.2 No Warranties

• We provide the Services “AS IS” and “as available,” without any warranties.
• We disclaim all express or implied warranties, including merchantability, non-infringement, fitness for a particular purpose, title, and data loss.
• We make no representations regarding the availability, suitability, accuracy, reliability, timeliness, quality, or content of the Services.

8.3 Compatibility

• We do not guarantee that your computer or device will be compatible with the Service.
• Ensure that your equipment is suitable for use with our platform.

8.4 Liability for Unauthorized Use

• We are not liable for any unauthorized use of content or the service to create, distribute, or use defamatory, slanderous, libelous, or obscene material, or any material that infringes on third-party rights or violates laws.

• Smart Speak or third parties may send promotional emails.
• We make no representations about the content or goods and services offered in these emails and are not liable for any related content or messages.

8.6 Limitation of Liability

• Smart Speak and its affiliates are not liable for any direct, indirect, consequential, exemplary, special, incidental, or punitive damages, lost profits, or other damages arising out of your use of the Services or these Terms, even if advised of the possibility of such damages.

9. Liability of Users/Members

9.1 Violation of Terms

• Violating these Terms may result in suspension or termination of Services without entitlement to refunds or compensation.
• Obligations between third parties and Members are not Smart Speak’s responsibility.

9.2 Indemnification

• You agree to defend, indemnify, and hold harmless Smart Speak and its affiliates, suppliers, directors, and employees against any claims, losses, damages, liabilities, costs (including attorneys’ fees), and expenses arising from your use of the Services or breach of these Terms.

9.3 Injunctive Relief

• Unauthorized use of the Services or related technology may cause irreparable harm to Smart Speak.
• We are entitled to immediate injunctive relief and other legal remedies.

9.4 Suspension for Infringement
